Supernus and Indivior merge to create scaled, CNS-focused entity

Through this merger, the duo will combine their commercial medicinal portfolios, which span CNS and opioid use disorders (OUDs).

Supernus Pharmaceuticals and Indivior Pharmaceuticals are joining forces to create a diversified and scaled biopharmaceutical company focused on the central nervous system (CNS).

Through this all-stock merger, which is expected to generate pro forma net revenue of $2.2bn, the duo will marry their commercial portfolios, which include 11 medicines spanning the realm of neurology, addiction and psychiatry.

Supernus’ products include several approved therapeutics - ADHD medication, Qelbree (viloxazine hydrochloride) and Parkinson’s disease drug, Gocovri (extended-release amantadine), which became the company’s best-selling assets by bringing in $72.8m and $21.9m in net product sales during the first six months of 2026. Also in Supernus’ portfolio are drugs for postpartum depression treatment, cervical dystonia, epilepsy and migraine.

Meanwhile, Indivior will bring its collection of OUD treatments to the table. This includes injectable OUD therapy, Sublocade (extended-release buprenorphine), which pulled in $856m in 2025 – up 13% from the previous year. Also in Indivior’s portfolio are sublingually administered therapies like Suboxone (buprenorphine and naloxone) and emergency opioid overdose-curbing nasal spray, Opvee (nalmefene).

According to the companies, this merger will create a differentiated portfolio of medicines incorporating several key growth products, while allowing the entity to grow its commercial portfolio, advance its pipeline and uncover new business development opportunities. They also expect the deal to generate around $125m in expected annual cost synergies.

If the merger goes through as expected in the fourth quarter of 2026, current Supernus founder, CEO and president, Jack Khattar, will take the helm as the new entity’s chief executive, which will trade under the name Supernus Inc and remain on the Nasdaq exchange under the ticker ‘SUPN’. Khattar originally founded Supernus in 2005, and has served as president, director and CEO of the company ever since.

On the advisory side, Indivior non-executive director and prior Biogen and Scholar Rock executive, Tony Kingsley, will serve as the chair of Supernus Inc’s board, which will consist of four members from each founding company.

In an investor call, both companies noted that, moving forward, CNS would remain a key focus for the business, though the pair are also interested in pursuing women’s health. Executives added that development of mid-to-late-stage assets is also a top priority for the combined business.

Summer months see several potential mergers

Supernus and Indivior’s merger is one of the latest biopharma M&A agreements to be made public as the industry sees an uptick in dealmaking activity.

A potential merger that caught the sector’s attention this week was one between UK-Swedish biopharma giant AstraZeneca and American titan Bristol Myers Squibb (BMS), which would create a company worth $400bn – one of the largest in the space.

Meanwhile, radiopharmaceutical company Curium agreed to buy rival Lantheus for up to nearly $8bn.

At the tail end of last week, Johnson & Johnson (J&J) also inked a collaboration deal with in vivo CAR-T specialist Sail Biomedicines, which could lead to a $2.58bn takeover.
