Teva Pharmaceutical Industries Ltd has entered a definitive agreement to acquire Anda Inc. from Allergan plc for a purchase consideration of $500m.

According to the agreement, Teva will acquire three distribution centres in Olive Branch, Mississippi, Weston, Florida, and Groveport, Ohio. The transaction is expected to be closed in the second half of 2016.

Covington & Burling LLP is acting as legal advisor and Weil Gotshal & Manges LLP is acting as advisor for anti-trust matters to Allergan.

The transaction enables Teva Pharma to improve its existing offerings and customer services, while enabling Allergan to take up new development programmes.

Epic Health Services has acquired Paediatric Special Care Inc. to expand private-duty nursing and home medical equipment services to patients across Michigan.

Pursuant to the transaction, the private-duty nursing segment of the target company will be rebranded as Epic Health Services and the home medical equipment segment will be rebranded as Epic Medical Solutions.
